Cardrivecanada.ca (“Cardrivecanada,” “Technologies Trnds Inc.,” “Trnds,” “we,” “us,” “our,” and terms of similar meaning) provides this website and any software on the website (the “Site”) and other products, including products and services provided by Cardrivecanada.ca for use or purchase via the Site (collectively, the “Services”), which are subject to these terms of use (these “Terms”).

Please read these Terms carefully before using the Site. By accessing, using, or browsing the Site, you agree to be legally bound by these Terms and all terms, policies, and guidelines incorporated by reference into these Terms. If you do not agree with these Terms in their entirety, you may not use the Site.

If the person accepting these Terms accepts them on behalf of a company or legal entity, such person represents that they have the authority to bind that entity and its affiliates to these Terms, in which case the term “User” will refer to that entity and its affiliates. If the person accepting these Terms does not have such authority or does not agree with these Terms, that person must not accept these Terms and may not use the Services.

1. Cardrivecanada.ca and Third-Party Services

Cardrivecanada.ca, through the Site, refers Users to a number of products and services provided by third-party service providers (“Third-Party Service Providers”) in the automotive field. By using the Site, Users may obtain quotes or access sales and automotive financing services provided by third parties. It is important to note that the vehicles displayed on the Site and in advertisements are provided for illustrative purposes only and may not be available at the time of request. Images are non-contractual, and the prices shown depend on individual factors including, without limitation, credit profile, down payment, applicable interest rates, fees, and taxes. No approval or exact availability is guaranteed. Cardrivecanada.ca’s trusted partners strive to offer similar vehicles, but exact availability is not guaranteed.

When a User completes a form in order to obtain a product or service in the automotive field (including, without limitation, an application for automotive financing), the User authorizes Cardrivecanada.ca to disclose the User’s personal information to a Third-Party Service Provider solely for the purpose of providing the requested service. In this context, the User also authorizes that Third-Party Service Provider to contact the User by telephone, SMS/text, or email exclusively to offer the said service, such as automotive financing.

Certain forms include an explicit statement by which the User authorizes Cardrivecanada and/or its partners to conduct a check of the User’s credit file in order to facilitate processing of an automotive financing application. Where such express consent is provided, the User authorizes Cardrivecanada and/or the Third-Party Service Provider to verify and/or obtain a copy of the User’s credit file exclusively for the purpose of providing the requested service, including, but not limited to, an automotive financing application. In the absence of such express consent in the form, no credit file verification will be carried out until the User has granted explicit authorization.

Completing an online form for the purpose of obtaining a quote or a service provided by Cardrivecanada.ca or a Third-Party Service Provider does not create a client relationship with Cardrivecanada.ca or with the Third-Party Service Provider.

Users agree that Cardrivecanada.ca assumes no liability arising from the use of any service made available by Third-Party Service Providers.

2. Privacy Policy

Please consult Cardrivecanada.ca’s Privacy Policy for information on how Cardrivecanada.ca collects, uses, and discloses users’ personally identifiable information. By using the Site, you agree to the collection, use, and disclosure of personally identifiable information in accordance with the Privacy Policy. This includes acknowledgment that Cardrivecanada.ca is compensated by dealers (Third-Party Service Providers) for referrals, at no additional cost to the user.

3. Site License and License Restrictions

For purposes of these Terms, the content of the Site and Services—including all information, data, logos, marks, designs, graphics, documents, records, images, audio files, other files, and the selection and arrangement thereof—is referred to as “Content.”

Cardrivecanada.ca grants you a revocable, non-exclusive, and non-sublicensable license to use the Site and the Services and to display the Content made available to you via the Site (the “License”).

Except as expressly permitted in these Terms, the License is subject to the following account restrictions and conditions:

  • (a) The Content and Services provided by Cardrivecanada.ca via the Site are for your use only. You may not resell, rent, or otherwise provide them to anyone, except as permitted by the Site.
  • (b) You may not make or distribute copies of the Site, Services, or Content, or reproduce, distribute, or display the Site, Services, or any Content (other than page caching), except as expressly authorized in these Terms.
  • (c) You may not modify or create derivative works based on the Site, Services, or Content.
  • (d) You may not use the Site, Services, or Content for application deployment or any ultimate production purpose.
  • (e) You may not use the Site, Services, or Content to develop any application, website, or product having the same or similar primary function as the Site, Services, or Content.
  • (f) You may not remove or alter any copyright, trademark, or other proprietary notices placed on the Site, Services, and/or Content.
  • (g) You may not use the Site, Services, or Content other than for their intended purposes.
  • (h) You may not use data mining, robots, or similar data-gathering or extraction methods.
  • (i) Your use of the Site, Services, and Content must not infringe or violate the rights of any other party, breach any contract or legal obligation to any other party, or violate any applicable law.
  • (j) You have reached the age of majority in the province, state, or country where you reside, and you can enter into legally binding contracts under applicable law.
  • (k) Except as expressly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise.

The licenses in this section are revocable by Cardrivecanada.ca at any time.

4. Ownership, Copyright, and Trademarks

Content provided by users on the Site or otherwise sent to Cardrivecanada.ca for posting on the Site is called “User Content.” User Content is owned by its respective owners (e.g., the user who submitted it). User Content on the Site may include comments, reviews, ratings, information, data, images, videos, sounds, and other data uploaded by a user to the Site. Your User Content is your responsibility. You are solely responsible for retaining copies of and replacing any User Content you send to Cardrivecanada.ca for posting or storage on the Site and/or that you personally post or store on the Site. Cardrivecanada.ca has no responsibility for this, nor for any loss or damage your User Content may cause to you or others. Although Cardrivecanada.ca has no obligation to do so, it has absolute discretion to remove, filter, or modify, without notice, any User Content posted or stored on the Site, at any time and for any reason.

Except for User Content, the Services, the Site, all Content, and any other software used to create and operate the Site are the property of Cardrivecanada.ca or its licensors, are protected by Canadian and international copyright laws, and all rights in the Site, Services, such Content, and such software are expressly reserved. All trademarks, service marks, product names, and company names or logos mentioned on the Site are the property of their respective owners. Reference to any product, service, process, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by Cardrivecanada.ca.

You may use the Site and Services only for the purposes expressly authorized on the Site. In particular, you may not use the Site or Services, or your access to Cardrivecanada.ca’s technology or any of its intellectual property rights, whether for yourself or any other person, to research, develop, or create, or to facilitate any of the foregoing by yourself or any other person, any service, technology, or product that competes with, or is similar to, the Site or the Services, or any other service provided through its technology or the Site or Services.

5. Third-Party Sites, Content, and Software

The Site may contain links to third-party websites (“Third-Party Sites”) and third-party content, including, without limitation, software (“Third-Party Content”). Your use of links to Third-Party Sites and any third-party content or services provided thereon is at your own risk. Cardrivecanada.ca neither monitors nor controls, and makes no claims or representations regarding, Third-Party Content or Third-Party Sites. Cardrivecanada.ca provides access to such content solely as a convenience, and a link to a Third-Party Site or Third-Party Content does not imply Cardrivecanada.ca’s endorsement, adoption, or sponsorship of, or affiliation with, such Third-Party Site or Third-Party Content. Cardrivecanada.ca accepts no responsibility for reviewing changes or updates, or for the quality, content, policies, nature, or reliability of Third-Party Content, Third-Party Sites, or websites linked to the Site. When you leave the Site, Cardrivecanada.ca’s terms and policies no longer apply. Cardrivecanada.ca also provides no warranty regarding services provided and makes no statements regarding the expected results of services purchased.

You should review the applicable terms and policies, including, without limitation, privacy and data-collection practices, of any Third-Party Site or Third-Party Content provider, and you should conduct whatever investigation you deem necessary or appropriate before proceeding with any transaction with any third party.

Cardrivecanada.ca or the Site may also provide or contain the ability to integrate the Services with Third-Party Content, third-party software, and/or open-source software, which may be subject to third-party licenses and require additional notices and/or terms and conditions (“Third-Party Licenses”). Such Third-Party Licenses form an integral part of and are incorporated into these Terms. By accepting these Terms, Users also accept the Third-Party Licenses.

Users agree that Cardrivecanada.ca assumes no liability arising from the use of any offering or integration made available via Third-Party Content, Third-Party Sites, third-party software, open-source software, and related services. Cardrivecanada.ca may modify or discontinue offerings or integrations at any time, without notice.

6. Advertisements and Promotions

Cardrivecanada.ca may display third-party advertisements and promotions on the Site. Your business dealings or correspondence with, or participation in promotions of, advertisers other than Cardrivecanada.ca, and any terms, conditions, warranties, or representations associated with such dealings, are solely between you and such third party. Cardrivecanada.ca is not responsible for any loss or damage of any kind incurred as a result of such dealings or as a result of the presence of third-party advertisers on the Site.

7. Your Limited License in Your User Content to Cardrivecanada.ca

Cardrivecanada.ca does not claim ownership of your User Content, but it requires the right to use your User Content to the extent necessary to operate the Site and provide its Services, now and in the future. For example, if you leave a comment on a blog post or post a review of one or more products, either directly on the Site yourself or by otherwise sending it to Cardrivecanada.ca, Cardrivecanada.ca needs your license to display that User Content on the Site and needs the right to sublicense that User Content to its other users so they can view it.

Accordingly, by posting or distributing User Content on Cardrivecanada.ca and/or to or through the Services, you: (a) grant Cardrivecanada.ca and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to use, display, perform, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such User Content, in the manner and for the purposes for which the Site and/or the Services from time to time use such User Content; and (b) represent and warrant that (i) you own and control all rights in the User Content, or otherwise have the legal right to post and distribute such User Content on or through the Site and/or the Services; and (ii) the use and posting or other transmission of such User Content does not violate these Terms and will not infringe any rights or cause harm to any person or entity.

If your User Content is intended to be used by other users, you also grant Cardrivecanada.ca, and its affiliates and subsidiaries, a non-exclusive, royalty-free, transferable right to sublicense that User Content to its users for their use in connection with their use of the Site and/or the Services, as described in this Section.

These licenses from you are non-exclusive because you are free to use your User Content elsewhere. They are royalty-free because Cardrivecanada.ca is not required to pay you for using your User Content on the Site and/or the Services. They are transferable because Cardrivecanada.ca needs the right to transfer these licenses to any successor operator of the Site and/or the Services. The rights to “modify, adapt, translate, and create derivative works from” are necessary because the normal operation of the Site and/or the Services may do so to your User Content when processing it for use on the Site and/or the Services.

8. Disclaimer of Warranties

The Site, software, Content, information, advertisements, and Services are provided to you “as is”, without any warranty of any kind from Cardrivecanada.ca, whether express or implied. Cardrivecanada.ca expressly disclaims all other warranties, express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Information displayed on the Site and in advertisements, including available vehicles, monthly payments (prices), and vehicle mileage, may be inaccurate, as they depend on your ability to be approved for such financing, your down payment, your credit, prevailing interest rates, the availability of vehicles at Cardrivecanada.ca’s partners, and other factors. The price displayed corresponds to an average and should be considered for illustrative purposes only, as it may vary upward or downward depending on the factors listed above.

The Site, software, Content, information, advertisements, and Services are provided for informational purposes only and should not be considered accurate, complete, timely, or fit for any particular purpose. Cardrivecanada.ca does not represent or warrant that the Content or the Services, including without limitation information provided through use of the Services or other products, are accurate, complete, reliable, current, or error-free, and expressly disclaims any warranty or representation as to the accuracy or propriety of the Site, software, Services, Content, or any portion thereof. Cardrivecanada.ca does not warrant or assume responsibility for any product or service, or any portion thereof, including Third-Party Content, promoted or sold on the Site. The product(s) or services, including services offered by Third-Party Service Providers, may be unavailable or interrupted. Cardrivecanada.ca may provide additional product-specific disclaimers in its description of such product(s) on the Site or via the Services, email, or other correspondence to you, in the product(s) themselves, or in and/or on the medium in which delivered.

Cardrivecanada.ca further disclaims all warranties, express or implied, in relation to any service provided through Third-Party Service Providers, and Cardrivecanada.ca does not warrant results that may arise as a consequence of such services.

9. Typographical Errors or Inaccuracies

The Site may contain typographical errors or inaccuracies and may not be complete or up to date. Cardrivecanada.ca reserves the right to correct any error, inaccuracy, or omission (including after an order has been submitted) and to change or update information at any time without notice. This includes information about vehicles displayed, which may not reflect current market conditions or real-time availability. Please note that such errors, inaccuracies, or omissions may relate to pricing and availability and, to the extent permitted by applicable law, Cardrivecanada.ca reserves the right to cancel or refuse to accept any request placed based on incorrect pricing or availability information.

10. Limitation of Liability; Indemnity

You waive and will not assert any claim or allegation of any kind against Cardrivecanada.ca, its affiliates or subsidiaries, their subcontractors, vendors, or other partners, their successors or assigns, or their officers, directors, agents, or employees (collectively, the “Released Parties”) arising from or in any way related to your use of the Site, the Services, or the Content, including, without limitation, any claim or allegation relating to alleged infringement of proprietary rights, alleged inaccuracy of Content, or allegations that any Released Party has or should indemnify, defend, or hold harmless you or any third party against any claims or allegations arising from your use or other exploitation of the Site. You use the Site at your own risk.

Without limiting the foregoing, neither Cardrivecanada.ca nor any other Released Party shall be liable for any direct, special, indirect, or consequential damages, or any other damages of any kind, including, without limitation, personal/bodily injury (including death) resulting from your use of the product(s) you purchase via the Site, loss of use, loss of profits, or loss of data, whether in an action in contract, tort (including, without limitation, negligence), or otherwise, arising from or in any way related to the use of the Site, the Services, or the Content, including, without limitation, any damages caused by or resulting from your reliance on the Site, the Services, Content, or other information obtained from Cardrivecanada.ca or any other Released Party or accessible through the Site, or resulting from errors, mistakes, omissions, interruptions, deletions of User Content or other data, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failures, theft, destruction, or unauthorized access to the Site, any user, or the files, programs, or Services of any other Released Party.

In no event shall Cardrivecanada.ca’s aggregate liability, whether in contract, warranty, tort (including negligence, whether active, passive, or imputed), product liability, strict liability, or any other theory, arising from or related to use of the Site or the Services exceed the amount you paid for the product(s), Services, or access to the Site or Services during the three months preceding the date of any claim, if any.

You shall defend, indemnify, and hold harmless Cardrivecanada.ca and the other Released Parties from any loss, damage, liability, cost, expense, claim, and proceeding arising from your use of the Site and Services and from use of the Site by any person to whom you grant access to your account.

11. Notices

Notices that Cardrivecanada.ca gives you may be provided in one of the following ways. First, Cardrivecanada.ca may send you an email or SMS/text message to the contact details you have provided. Second, it may post the notice elsewhere on the Site. When Cardrivecanada.ca posts notices on the Site, it displays them in the area of the Site appropriate to the notice. It is your responsibility to periodically review the Site for notices.

12. Governing Law and Jurisdiction

The Site is controlled and operated by Cardrivecanada.ca from its offices in Québec. Both you and Cardrivecanada.ca benefit from establishing a predictable legal environment regarding the Services. Accordingly, you and Cardrivecanada.ca expressly agree that all disputes, claims, or other matters arising from or related to your use of the Site and Services will be governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Except where prohibited by applicable law, any claim, dispute, or controversy (whether in contract or tort, under statute or regulation, or otherwise, and whether pre-existing, present, or future) arising from or related to (a) these Terms; (b) the Site, the Services, or the Content; (c) oral or written statements relating to these Terms or the Site and/or the Services; or (d) the relationships resulting from these Terms or the Site, the Services, or the Content (collectively, a “Claim”) shall be referred to and determined by a single arbitrator (to the exclusion of the courts). Except where prohibited by applicable law, you waive any right you may have to commence or participate in any class action against Cardrivecanada.ca relating to any Claim and, where applicable, you also agree to opt out of any class action against Cardrivecanada.ca. If you have a Claim, you must give written notice of arbitration to the address indicated below. If Cardrivecanada.ca has a Claim, it will give you a notice of arbitration at the contact details provided when purchasing a product or service. The arbitration will be conducted by one (1) arbitrator in accordance with the commercial arbitration laws and rules in effect on the date of the notice in the Province of Québec.

To the extent arbitration as described in the preceding paragraph is prohibited by applicable law, you agree that all Claims shall be heard and resolved by a court of competent jurisdiction located in Québec. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceedings in such courts, and agree not to assert any objection to proceedings in such courts.

If you choose to access the Site and/or the Services from locations other than Québec, you will be responsible for compliance with all local laws of such other jurisdiction and you agree to indemnify Cardrivecanada.ca and the other Released Parties for your failure to comply with any such laws.

13. Termination/Modification of the License and Site Offerings

Notwithstanding anything to the contrary in these Terms, Cardrivecanada.ca reserves the right, without notice and in its sole discretion, and without liability to you, to: (a) terminate your license to use the Site and/or the Services, or any part thereof; (b) block or prevent your future access to and use of any or all of the Site, Services, or Content; (c) modify, suspend, or discontinue any aspect of the Site, Services, or Content; and (d) impose limits on the Site, Services, or Content. When your account is terminated, any User Content you uploaded or sent to Cardrivecanada.ca for posting on the Site may remain on the Site.

If these Terms expire or are terminated for any reason, the other Sections, and any representation or warranty you make in these Terms, shall also survive indefinitely.

14. Changes to the Terms

Cardrivecanada.ca reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy or guideline applicable to the Site and/or the Services, at any time and in its sole discretion. If Cardrivecanada.ca does so, it will post a notice on the Site visible to you the next time you access the Site. If you do not agree with the changes, your sole remedy is to stop using the Site and Services and cancel your account with Cardrivecanada.ca without further obligation, if any. Unless otherwise stated, any change or modification will take effect immediately upon posting of the revisions on the Site, and your continued use of the Site and Services thereafter will constitute your acceptance of such changes and/or modifications. You should periodically review the Terms and all policies and documents incorporated therein to understand the terms and conditions that apply to your use of the Site and Services. The Terms will always show the “last updated” date at the top. If you do not accept the modified Terms, you must stop using the Site and the Services.

15. Miscellaneous

If any provision of these Terms is held to be illegal, void, or unenforceable for any reason, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. Cardrivecanada.ca may assign any or all of its rights hereunder to any party without your consent. You are not permitted to assign any of your rights or obligations hereunder without Cardrivecanada.ca’s prior written consent, and any attempted assignment will be null and void. These Terms constitute the entire agreement between you and Cardrivecanada.ca regarding your use of the Site and Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Cardrivecanada.ca regarding your use of the Site and Services. The parties confirm that they wish these Terms, as well as any other document relating to these Terms, including notices, to be drawn up in French only. The parties acknowledge having agreed that this agreement, as well as all documents, notices, and legal proceedings that may be executed, given, or intended as a result hereof or in any way relating hereto, directly or indirectly, shall be drawn up in French.
